# Tricor Rides Asia’s Big Wave of Economic and Corporate Expansion as Asia’s Leading Business Expansion Specialist

證券無紙化討論多年，市場諮詢將在4月27日完結。卓佳集團行政總裁楊斌官認為，香港上市公司大多數來自海外註冊地，推無紙化須與多國商討法規接軌，因此耗時極長，而無紙化實行後料可增加市場交投，有利其生意。面對金融科技挑戰，楊斌官毋懼競爭，指挑戰者必須準備受嚴格監管，「照顧股票證明書相當於照顧銀行存款，不能輕率」，未來亦不排除收購此類金融科技公司。

卓佳為香港大型公司秘書服務商及股份過戶處，單在香港已有1200多家上市公司客戶，與另一家龍頭過戶處中央證券，瓜分香港大部分市場。

**過戶處角色吃重 將受證監規管**

香港市場仍然未全面實行無紙化，最近市場諮詢建議先從新股做起，並不再發行紙本股票，冀逐步推展至全個市場；實行無紙化後，股份過戶處的角色會加重，亦會受證監會規管。

現時股民絕大部分是透過證券行及中央結算系統（CCASS）持有股票，股民只是股份的經濟實益擁有人，中央結算才是股份的法定擁有人；即使股民欲親身出席股東大會投票，亦必須先通知證券行，再以代名人身份出席，手續繁多。楊斌官接受本報專訪時指出，無紙化改革的重點是令股民的經濟及法律所有權匹配，此後申購IPO及持有股份都可純以電子形式進行，手續簡便後相信可帶動成交，「最大的贏家將會是消費者（股民），香港市場會更有效率。」

**上市公司近七成海外註冊**

楊斌官又為改革過程冗長辯護，「將經濟及法律所有權看齊，這過程並非人們想像般容易」，全因香港上市公司多數在海外註冊，推行無紙化改革，必須與上述的註冊地溝通和確保與當地法律接軌，「香港股市國際化的程度，可能較倫敦或紐約更大，而要實行無紙化的挑戰非凡，其他交易所相信未曾處理過。」根據資料，全港的上市公司中，在香港註冊的只佔30.62%，其餘多數在開曼群島（36.18%）、中國（19.87%）或百慕達（7.4%）註冊。

金融科技崛起之快，令傳統金融機構不得不變陣回應，有股份過戶處推出電子投票等新猷，冀增加股東參與公司事務的興趣。楊斌官豪言毋懼競爭，事關過戶處即將受證監會規管，「我歡迎更嚴格監管，因為照顧股票證明書相當於照顧銀行存款，不能輕率」。他透露，卓佳有與金融科企接觸，最快今年底會把其「認識你的客戶」（KYC）服務納入卓佳系統中，提升效率。不過他強調，現階段的科技工作清單中，最重要仍然是與監管機構合作構思其無紙化服務平台。
